Welcome to Qrika. These Terms & Conditions ("Terms") form a legally binding agreement between you ("you", "User", "Member") and Qrika ("Qrika", "we", "our", or "us"), the operator of the Qrika marketplace made available through the website at qrika.app and any related mobile or web applications (collectively, the "Platform").

By creating an account, listing an item, buying an item, or otherwise using the Platform, you confirm that you have read, understood and agreed to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Platform.

Plain-language summary. Qrika is a peer-to-peer marketplace for second-hand items. Sellers list; buyers buy; Qrika holds the money in escrow until the buyer confirms delivery. You must be at least 18 to transact, list only items you own and are allowed to sell, and treat other members with respect. These Terms set out the full rules.

1. About Qrika

Qrika operates an online marketplace that enables individuals in Nigeria to buy and sell pre-owned items directly from and to one another. Qrika itself is not a party to the sale contract formed between a buyer and a seller. Qrika provides the technology, payment escrow, dispute mediation and (where available) delivery coordination that facilitate those sales.

2. Definitions

  • Member / User - any person with a Qrika account.
  • Seller - a Member who lists an item for sale.
  • Buyer - a Member who purchases an item.
  • Listing - an item and its description published by a Seller.
  • Order - a completed purchase of a Listing by a Buyer.
  • Escrow - the period between payment and Buyer confirmation during which Qrika holds the funds on behalf of the Seller.
  • Wallet - the in-app balance where Seller earnings accumulate before withdrawal to a bank account.
  • Content - any text, photographs, reviews, messages or other material submitted to the Platform.

3. Eligibility

  • You must be at least 18 years old and legally able to enter into a binding contract under the laws of the Federal Republic of Nigeria.
  • You must provide accurate, current and complete information when registering and keep it updated.
  • You must use the Platform only for lawful, personal, non-wholesale purposes. Commercial resellers and registered businesses may use Qrika only with our prior written consent.
  • Qrika may decline registration or suspend an account at its discretion where eligibility is not met.

4. Your account

  • You are responsible for all activity under your account and for keeping your password confidential.
  • You must notify us immediately at support@qrika.app of any unauthorised access or suspected security breach.
  • You may not create more than one account without our permission, impersonate another person, or transfer your account to anyone else.
  • We may require identity verification (for example, a government-issued ID, BVN, or a bank-account match) to unlock selling, higher withdrawal limits or dispute escalation.

5. Listing items (Catalogue Rules)

When you list an item, you confirm that:

  • You are the rightful owner of the item and legally entitled to sell it.
  • The item is second-hand, unused personal stock, or otherwise permitted under these Terms.
  • Your photographs are genuine, taken by you (or used with permission), clearly show the actual item, and have not been retouched in a way that misleads a buyer.
  • Your description is accurate as to brand, size, condition, material, defects and any repairs.
  • Your price is stated in Nigerian Naira (NGN) and includes any VAT that you are required by law to charge.
  • You will honour the sale at the listed price if a Buyer pays for it.

6. Prohibited and restricted items

To keep Qrika safe and lawful, the following items must not be listed or sold on the Platform:

  • Counterfeit, pirated or unauthorised replica goods.
  • Firearms, ammunition, explosives, knives intended as weapons, and other controlled weapons.
  • Illegal drugs, drug paraphernalia, and prescription medication.
  • Tobacco, nicotine and vaping products, and alcoholic beverages where age-verified sale is not possible.
  • Live animals, animal parts, or endangered-species products (CITES).
  • Human remains, body fluids or used cosmetics that pose hygiene risks.
  • Used underwear, used socks or other intimate items not expressly permitted by the category rules.
  • Stolen goods, items under recall, or goods whose sale breaches any third party's intellectual-property rights.
  • Financial instruments, lottery tickets, cryptocurrencies, gift cards, airtime and data vouchers, and account credentials for other platforms.
  • Adult / pornographic content, escort or dating services.
  • Government documents, uniforms of the Nigerian security services, and items whose sale is restricted by Nigerian law (including the Firearms Act, the NAFDAC Act, and the FCCPA 2018).
  • Any goods whose sale would violate the law of the state in which the Buyer or Seller resides.

We may remove any Listing without notice and may suspend or terminate the account of any Member who breaches these rules.

Replica policy clarification: replica, imitation or "inspired" items are treated as prohibited where they use another brand's name, logo, trade dress or other intellectual property in a way that may infringe rights or mislead buyers, even if labelled as "replica", "copy" or "not original".

7. Buying on Qrika

  • Placing an order is a binding offer to buy the item at the listed price plus any applicable delivery or service fees.
  • The sale contract is formed between Buyer and Seller when payment is confirmed. Qrika is not a party to that contract.
  • You must pay through the on-Platform payment flow; paying the Seller off-Platform forfeits Buyer Protection and may result in account termination.
  • You should inspect the item on delivery and confirm receipt in the app within the inspection window (48 hours from confirmed delivery) unless a shorter or longer window is specified at checkout. If you do nothing, the Order will auto-complete at the end of the window.

8. Selling on Qrika

  • As a Seller, you enter into a direct sale contract with the Buyer.
  • You must dispatch the item within 5 working days of the Order, and upload a valid tracking reference (where the courier provides one).
  • If you fail to dispatch within that period and do not obtain Buyer consent to extend, the Buyer may cancel the Order for a full refund and Qrika may auto-cancel the Order.
  • You must deliver exactly the item described in the Listing, in the condition described, and packaged to survive normal transit.
  • You are responsible for complying with your own tax and record-keeping obligations, including any VAT, Personal Income Tax, or Companies Income Tax under Nigerian law.
  • You agree that Qrika may deduct fees, commission, refunds and chargebacks from your Wallet before payout.

9. Payments and escrow

  • Payments are processed by our payment-service provider, Paystack Payments Limited, which is licensed by the Central Bank of Nigeria. Your use of the payment service is also subject to Paystack's terms.
  • When a Buyer pays for an Order, the funds are held in escrow and are not released to the Seller until the Buyer confirms receipt or the Order auto-completes at the end of the inspection window.
  • If a dispute is opened, funds remain in escrow until the dispute is resolved under section 13.
  • All amounts are denominated in Nigerian Naira (NGN) unless otherwise stated.
  • Qrika does not hold customer funds as a bank. All escrowed funds are safeguarded by our payment-service provider.

10. Fees and commission

  • Listing an item on Qrika is free.
  • Qrika charges the Seller a commission on each completed sale. The applicable rate is shown to the Seller before the Listing is published and on the Order summary, and may vary by seller tier and category.
  • Qrika may charge a Buyer Protection fee and / or a service fee at checkout. The amount is displayed to the Buyer before payment.
  • Bank withdrawal, payment-gateway or delivery-partner charges may be passed through at cost.
  • We may change fees from time to time by posting the new schedule on the Platform; changes apply to Listings created after the effective date.

11. Wallet and withdrawals

  • Completed-sale proceeds, net of commission and any deductions, are credited to the Seller's Qrika Wallet.
  • Sellers may withdraw available balances to a verified Nigerian bank account that matches their registered identity.
  • Minimum withdrawal amounts, processing times and withdrawal fees are shown in the Wallet dashboard and may change from time to time.
  • We may place a temporary hold on a Wallet balance where fraud, chargebacks or unresolved disputes are suspected.

12. Delivery and shipping

  • Delivery options are selected at checkout and may include campus pick-up, third-party couriers, or Seller-arranged delivery.
  • Risk of loss passes to the Buyer on delivery confirmation.
  • If an item arrives damaged or is lost in transit, raise a dispute via the app within the inspection window and we will help mediate with the courier.
  • Sellers must upload proof of dispatch (tracking number or pick-up receipt) to remain eligible for payout.

13. Buyer protection and disputes

  • Qrika Buyer Protection covers Buyers where the item never arrives, arrives significantly not-as-described, or arrives damaged, provided the Order was placed and paid on-Platform.
  • To open a dispute, use the "Report a problem" button on the Order within the inspection window, supply photos / videos, and respond promptly to our requests for information.
  • Qrika will review the evidence from both parties and decide the outcome in its reasonable discretion. Possible outcomes include full refund, partial refund, return-for-refund, or release of funds to the Seller.
  • Qrika aims to issue a dispute outcome within 7 business days after receiving sufficient evidence from both parties, although complex cases may take longer.
  • Qrika's decision on a dispute is final for Platform purposes but does not prevent either party from exercising statutory rights under the Federal Competition & Consumer Protection Act 2018.

14. Returns, refunds, cancellations

  • Unlike a traditional retailer, Sellers on Qrika are private individuals and are not required to accept change-of-mind returns.
  • Returns are only required where the item is defective, significantly not-as-described, or otherwise covered by Buyer Protection.
  • Where a return is agreed or ordered, the Buyer must return the item in the same condition received, via a trackable method, within 7 days.
  • A Buyer may cancel an Order at any time before it is marked dispatched; the Seller may cancel with a reason (for example, item no longer available) and the Buyer will receive an automatic refund.
  • Refunds are returned to the original payment method and may take up to 10 working days to appear, depending on your bank.

15. Reviews and ratings

  • Only verified Buyers (i.e. those who have completed a purchase) may leave a review.
  • Reviews must be honest, based on actual experience of the transaction, and free of hate speech, personal attacks, contact details or off-Platform promotions.
  • We may remove reviews that breach these rules or that are the subject of a valid legal complaint.

16. User conduct

You must not:

  • Harass, threaten, defame or discriminate against any other Member.
  • Attempt to move a transaction off-Platform to avoid fees or Buyer Protection.
  • Use the Platform to send spam or unsolicited commercial messages.
  • Interfere with the security or integrity of the Platform, including scraping, reverse-engineering or overloading our systems.
  • Use bots, scripts or automated means to create accounts, place orders or post reviews.
  • Violate any applicable law, including anti-money-laundering, sanctions and consumer-protection laws.

17. Content and intellectual property

  • You retain ownership of the Content you post. By posting, you grant Qrika a worldwide, royalty-free, non-exclusive, sublicensable licence to host, display, reproduce and distribute that Content for the purpose of operating, promoting and improving the Platform.
  • You represent that you have the rights necessary to grant this licence.
  • The "Qrika" name, logo, Platform design, source code and all associated intellectual property remain the exclusive property of Qrika and its licensors.
  • If you believe that Content on Qrika infringes your intellectual-property rights, notify us at legal@qrika.app with evidence of ownership and the URL of the Listing; we will act on substantiated complaints.

18. Privacy and data protection

Qrika processes personal data in accordance with the Nigeria Data Protection Act 2023 ("NDPA") and, where relevant, the Nigeria Data Protection Regulation 2019. For full details of what we collect, why, and your rights (including the right to access, rectify, erase and port your data), please read our Privacy Policy.

19. Suspension and termination

  • You may close your account at any time from the account settings, subject to the completion of any outstanding Orders and withdrawals.
  • We may suspend or terminate your account, remove Listings, or withhold Wallet balances where we reasonably suspect fraud, breach of these Terms, breach of applicable law, or risk to other Members.
  • Sections that by their nature should survive termination (including intellectual property, liability, indemnity, governing law and dispute resolution) will continue to apply after termination.

20. Liability and disclaimers

  • The Platform is provided on an "as is" and "as available" basis. We do not warrant that it will be uninterrupted, error-free, or free of viruses.
  • Qrika is a venue and a facilitator; we are not the seller or manufacturer of items listed. Product warranties, where they exist, are the Seller's responsibility.
  • To the maximum extent permitted by Nigerian law, Qrika will not be liable for indirect, consequential, incidental, special or punitive damages, or for lost profits, lost data or lost business.
  • Our total aggregate liability to any Member in any 12-month period is limited to the greater of (a) the total fees paid by that Member to Qrika in that period, (b) the value of the specific transaction that gave rise to the claim, and (c) NGN 250,000.
  • Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the Federal Competition & Consumer Protection Act 2018 or any other mandatory Nigerian law, including liability for death or personal injury caused by our negligence and liability for fraud.

21. Indemnity

You agree to indemnify and hold harmless Qrika, its officers, employees and agents against any third-party claim, loss or expense (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your breach of applicable law, (c) any item you list or sell on the Platform, or (d) any Content you post.

22. Governing law and dispute resolution

  • These Terms are governed by the laws of the Federal Republic of Nigeria.
  • Before starting any formal proceeding, you agree to contact us at legal@qrika.app and to try in good faith to resolve the matter for at least 30 days.
  • If the dispute is not resolved, it will be referred to arbitration under the Arbitration and Mediation Act 2023, to be conducted in English by a sole arbitrator in Lagos, Nigeria.
  • Nothing in this section prevents you from making a complaint to the Federal Competition & Consumer Protection Commission or another competent regulator, or from seeking urgent injunctive relief in a Nigerian court.

23. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify you by email and / or in-app notice at least 14 days before it takes effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not accept, you may close your account.
